managing the affairs of the
Endowment Fund, they shall
exercise the same degree of
care as prudent people would
exercise in the management of
their own personal financial
affairs. Members and officers of
the Board of Trustees shall not
be liable for losses that the
Endowment Fund might sustain
during their tenure, provided
they exercise that degree of
care. The members and officers
of the Board of Trustees shall be
indemnified by the Vestry
against personal liability in the
performance of their duties to
the fullest extent authorized
under the canons of the
Episcopal Church and the laws
of the Commonwealth of
Virginia. The Board of Trustees
may, at its discretion, authorize
the purchase of officers and
directors liability insurance
coverage for the members of
the Board of Trustees and
officers of the Endowment
Fund.

addition to the three voting

Trustees, inaddition to the

Board of Trustees.

amended by a vote of two
thirds of the Vestry. A
significant change shall require
the unanimous consent of the
Vestry. An amended copy of
this document shall be
appended to the annual report
